Amdocs Limited Completes Acquisition of XACCT Technologies
XACCT’s industry-leading convergent mediation capabilities bolster Amdocs leadership position in true integrated customer management<br/>

ST. LOUIS, MO - February 19, 2004 - Amdocs (NYSE: DOX), the world’s leading provider of billing and CRM products and services for true integrated customer management, today announced the completion of the acquisition of XACCT Technologies, Inc., a privately-held provider of industry-leading mediation software to Communications Services Providers. On December 22, 2003, Amdocs disclosed its agreement to acquire XACCT’s outstanding shares for approximately $29.5 million, subject to certain adjustments, of which approximately $13.5 million was paid in cash and the balance in 560,777 Amdocs Ordinary Shares.

This acquisition expands the scope of Amdocs capabilities in the network mediation space, providing the capability for supporting end-to-end event processing for voice, data, content and commerce prepaid, postpaid and nowpaid transactions.

The acquisition of XACCT is an important element in Amdocs strategy to expand its current offerings and market presence in mobile, wireline, and cable segments. The integration of XACCT’s industry-leading mediation software products and architectural approach are expected to:
  • Extend Amdocs capabilities and market reach toward the applications – a critical area as service providers look to expand service offerings and charge for new data and content services
  • Provide customers with lasting integration of billing and mediation, and speed time-to-market for new services. XACCT’s product platform, including its award-winning Network-to-Business (N2B®) Platform, are incorporated into the Amdocs product roadmap under the Amdocs XACCT Mediation brand
  • Offer Communications Services Providers the benefits of reduced project risk and a stronger overall solution, when combined with Amdocs’ comprehensive services. Existing Amdocs customers will be provided new capabilities in the areas of mediation and message acquisition and formatting
XACCT is a recognized industry leader in mediation software, which serves as a critical link between networks and OSS/BSS systems. Mediation involves the collection, filtering, correlation and formatting of voice, data, content or commerce usage information from the network. XACCT provides the industry-leading convergent mediation platform for telecommunications service providers such as wireline carriers, mobile operators, cable operators, and managed services providers. XACCT’s carrier-class Network-to-Business Platform enables service providers to monetize their network traffic by harnessing network information to create new value-based services and lower operational costs.

Amdocs expects to incur a one-time acquisition related charge in its second quarter ending March 31, 2004 to account for certain costs relating to the acquisition, primarily the write off of purchased in- process research and development. The Amdocs Ordinary Shares issued in the acquisition are not registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
